Terms of Service
These Terms of Service govern the use of the ShoColla website, mobile applications, and related services (collectively, the "Service") operated by Smartlink Communications, Inc. (the "Company," "we," "us," or "our"), and set forth the rights, obligations, and responsibilities of the Company and Members.

2. Definitions
As used in these Terms:
• Service: the ShoColla platform, including the website, mobile applications, and all related functions and services
• Member: a person who has agreed to these Terms, the Privacy Policy, and other posted operating policies and has entered into a service agreement with the Company
• Campaign Organizer: a Member who creates a campaign to promote a track or related content and sets participation conditions and reward criteria
• Creator: a Member who participates in a campaign by creating and publishing content on a Third-Party Platform and submitting the relevant link or materials through the Service
• Campaign: a promotional program through which a Campaign Organizer recruits Creator participation and offers rewards based on defined conditions
• Submission: any video URL, post link, account information, performance metrics, hashtags, captions, or related materials submitted for campaign participation
• Official Audio URL: a URL or identifier for official audio, sound, or a related official page made available on a Third-Party Platform
• Colla: the digital reward unit administered by the Company within the Service for recording and managing budgets, rewards, usage, redemption, deductions, reversals, and settlement history
• ShoColla Store: the in-service store through which products or services may be offered by the Company
• Redemption or Settlement: the process by which eligible Colla may be paid out in cash or by another payout method designated by the Company, subject to the Company’s procedures and requirements
• Third-Party Platform: any external platform not operated by the Company, including YouTube, TikTok, and Instagram
• User-Generated Content: all information created, registered, or shared by a Member through the Service, including campaign information, Submissions, profile information, nicknames, bios, links, comments, and inquiry responses
• Community Guidelines: the content and conduct standards separately posted by the Company for service safety, user protection, and the maintenance of a healthy environment
• Report: a notification made by a Member through in-app functionality or another method provided by the Company to alert the Company to potentially objectionable content, rights infringement, spam, abusive users, or other policy violations
• Block: a function used by a Member through the Service to limit exposure to, interaction with, or access by another Member
• Objectionable Content: content that is illegal, obscene, sexually exploitative, hateful, discriminatory, harassing, threatening, violent, promotes self-harm, fraudulent, spammy, infringes rights, or is otherwise reasonably determined by the Company to be inappropriate for service safety
• Abusive User: a Member who engages in repeated harassment, hate speech, threats, spam, fraud, rights infringement, policy violations, or any other conduct harmful to user protection or service safety
3. Nature of the Service
- ShoColla is a platform that connects Campaign Organizers and Creators and supports campaign management, Submission review, performance verification, reward administration, and settlement.
- Unless expressly stated otherwise, the Company does not upload, host, distribute, sell, or license music files themselves.
- Campaigns are generally based on Official Audio URLs or equivalent references available on Third-Party Platforms.
- Creators are generally expected to create and publish content using the relevant official audio feature within the applicable Third-Party Platform.
- The Company does not control the policies, audio features, posting functions, account operations, API availability, view counting, or enforcement actions of any Third-Party Platform.
- In light of the fact that the Service includes User-Generated Content and user interaction, the Company may take such measures as review, reporting, blocking, hiding, deletion, account restriction, and other actions necessary for service safety and user protection.
4. Posting and Amendment of the Terms
- The Company shall post these Terms on the Service or through a linked page so that Members can easily review them.
- The Company may amend these Terms to the extent permitted by applicable law.
- If the Company amends these Terms, it shall provide advance notice of the effective date and the reason for the amendment.
- Continued use of the Service after the effective date of the amended Terms constitutes acceptance of the amended Terms.
- If a Member does not agree to the amended Terms, the Member may terminate the service agreement.
- In addition to these Terms, the Company may separately establish and post Community Guidelines, reporting and blocking policies, the Colla policy, refund policies, and other operating policies, and Members shall comply with them.
- The operating policies described above form part of the service agreement together with these Terms, and where these Terms and an operating policy conflict, the standard more appropriate for user protection and service safety may prevail unless otherwise specifically provided.
5. Formation of the Service Agreement and Registration
- The service agreement is formed when a user agrees to these Terms, the Privacy Policy, and the mandatory policies presented on the Service, completes the registration process specified by the Company, and the Company accepts the registration.
- Before accessing or using User-Generated Content, Submissions, profiles, links, comments, or other community features within the Service, a Member must agree to these Terms, the Community Guidelines, and the reporting and blocking policy.
- The Company applies a zero-tolerance policy toward Objectionable Content and Abusive Users.
- The Company may reject registration or terminate the service agreement after registration in any of the following cases:
- false information or another person’s information is used;
- the applicant has a history of violating applicable law, these Terms, the Community Guidelines, or Company policies;
- the registration is likely intended for improper purposes or may pose a material risk to service operations; or
- the Company otherwise reasonably determines that the registration is inappropriate.
- Members must keep the information provided at registration accurate and must promptly update any changes.
6. Account Management
- Members are responsible for safeguarding their accounts, passwords, and authentication methods.
- Members may not assign, lend, sell, pledge, or otherwise allow any third party to use their accounts.
- If a Member becomes aware of account theft or unauthorized use, the Member must immediately notify the Company.
- Members are responsible for losses arising from inadequate account management unless caused by the Company’s intentional misconduct or gross negligence.
7. Campaign Organizer Responsibilities
A Campaign Organizer shall represent, warrant, and comply with the following:
• it has lawful rights or promotional authority in relation to the Official Audio URL, artist name, brand name, artwork, description, promotional wording, and other campaign materials it registers;
• participation conditions, reward criteria, review standards, payment schedules, and restrictions are clearly disclosed;
• it does not violate applicable law, third-party rights, or the policies of any Third-Party Platform;
• it does not post false, exaggerated, misleading, or deceptive content;
• it does not induce fake participation, fake performance, fraudulent views, or other improper conduct; and
• it does not induce or tolerate Objectionable Content, hate or discriminatory expression, spam, harassment, or conduct by Abusive Users.
8. Creator Responsibilities
A Creator shall represent, warrant, and comply with the following:
• the Submission was lawfully created and posted by the Creator;
• the Creator used the Official Audio URL designated by the campaign or the corresponding official audio resource within the relevant Third-Party Platform;
• the Creator did not manipulate views, use bots or macros, use fake accounts, engage in spam posting, lease accounts, or use other improper methods;
• the Submission and account operation comply with applicable law and Third-Party Platform policies;
• the Submission does not infringe the rights of any third party in any element such as video, image, audio, likeness, or trademark;
• User-Generated Content created by the Creator, including Submissions, bios, nicknames, comments, and inquiry responses, does not contain Objectionable Content; and
• the Creator does not engage in harassment, threats, discrimination, spam, fraud, or other conduct associated with Abusive Users toward another Member.
9. Registration and Operation of Campaigns
- Campaign Organizers may register Campaigns in accordance with the methods specified by the Company.
- When registering a Campaign, a Campaign Organizer must accurately provide the following information:
- campaign name
- Official Audio URL or related link
- supported platforms
- participation conditions and restrictions
- reward criteria and total budget
- campaign period
- review method and payout method
- The Company may reject, modify, hold, suspend, hide, or remove a Campaign if:
- the rights relationship is unclear;
- the Campaign violates law or public order;
- it infringes or may infringe third-party rights;
- it is highly likely to violate Third-Party Platform policies;
- it is related to Objectionable Content or conduct by an Abusive User, or is likely to be so related; or
- it is materially inconsistent with Company policy or the purpose of the Service.
- For service safety, the Company may take necessary measures at the campaign registration stage, including keyword filtering, URL validation, automated detection, manual review, and other similar actions.
10. Campaign Participation and Submission
- Creators may participate in a Campaign after reviewing its published conditions.
- After publishing content on a Third-Party Platform, a Creator must submit the relevant URL and other information required by the Company through the Service.
- Submissions may be reviewed through automated review, manual review, or a combination of both.
- A Submission may be rejected, payment may be withheld, or rewards may be cancelled or reversed in any of the following cases:
- the link is invalid, deleted, private, or access-restricted;
- the Campaign conditions are not satisfied;
- the official audio use requirements are not satisfied;
- fraudulent performance or improper conduct is suspected or confirmed;
- third-party rights infringement or a Third-Party Platform policy violation is confirmed; or
- Objectionable Content, conduct by an Abusive User, or a violation of the Community Guidelines is suspected or confirmed.
- Based on a Report or its own monitoring results, the Company may restrict the visibility of a Submission or immediately hide it, and may also impose related account restrictions where necessary.
11. Review and Performance Verification
- The Company may review Submissions and verify performance using public information, information provided by Members, API integration data, and internal review criteria.
- Metrics such as views, likes, comments, shares, post status, and public account status may vary due to the policies of Third-Party Platforms, data delays, privacy settings, API limitations, deletion, or enforcement actions.
- Even where automated payout functionality is provided, the Company may later correct whether a reward should be paid or the amount of such reward based on post-review findings.
- The Company may revise Campaign performance, reward outcomes, or Campaign status where there is a reasonable basis to do so.
- For service safety, the Company may conduct reviews to determine whether content constitutes Objectionable Content or whether a Member is an Abusive User, and based on the results may suspend posting, hide or delete content, suspend accounts, withhold rewards, or take other necessary measures.
12. Acquisition, Use, Redemption, and Restrictions of Colla
- Members may acquire Colla through activities within the Service, events, purchases offered by the Company, or other methods designated by the Company.
- Colla may be used, within the scope designated by the Company, to purchase products or services in the ShoColla Store.
- Products or services available in the ShoColla Store may include fan sign event access, fan photo session access, fan meeting access, or other exclusive products or services designated by the Company.
- Members may apply to redeem unused Colla in accordance with separate conditions established by the Company.
- Whether Colla may be redeemed, the redemption rate, minimum redeemable amount, fees, payout cycle, payout method, identity verification procedure, account verification procedure, tax treatment, country-based restrictions, age restrictions, and account standing requirements shall be governed by the Company’s separate Colla policy or disclosures on the Service.
- The Company may restrict, hold, deny, cancel, reverse, or recover the use or redemption of Colla in any of the following cases:
- Colla was acquired through false or improper means;
- Submission manipulation, performance manipulation, account theft, bot use, or other violations of these Terms are suspected or confirmed;
- the redemption application information is false, incomplete, or inaccurate;
- refunds, payment cancellations, overpayments, duplicate payments, or system errors occur;
- such restriction is necessary in response to a request from a law enforcement or administrative authority or under applicable law; or
- an investigation or sanction is ongoing in relation to Objectionable Content or conduct by an Abusive User.
- The Company may offset improperly obtained or overpaid Colla against future payouts, redemption amounts, or settlement amounts.
- Unless expressly permitted by the Company, Colla may not be transferred, sold, pledged, or moved to an external platform between Members.
- Event-based, promotional, free, or specially sourced Colla may be subject to different usage or redemption conditions.
13. Paid Transactions, Cancellation, and Refunds
- Campaign Organizers or Members may pay budgets, fees, or other charges by methods provided by the Company.
- The standards for payment, cancellation, refunds, unused balance handling, and fee deductions shall be governed by the Service interface or a separate refund policy.
- If campaign operation has already commenced or Creator participation has substantially begun, the scope of a refund may be limited after taking into account already committed rewards, operating costs, payment processing fees, and other reasonable costs.
- Due to the nature of digital services, refunds may be limited for the portion of the Service already started or already performed, to the extent permitted by applicable law and Company policy.
14. Intellectual Property
- Rights in the Service and in all content, designs, software, databases, and related materials prepared or composed by the Company within the Service belong to the Company or the legitimate rights holder.
- Campaign Organizers grant the Company a non-exclusive license to use campaign names, descriptions, links, publicly displayable brand information, and campaign materials as necessary for operating, displaying, reviewing, providing statistics on, reporting on, and promoting the Service.
- Creators grant the Company a non-exclusive license to use Submission links, thumbnails, public account names, and publicly displayable performance metrics as necessary for operating, reviewing, providing statistics on, responding to disputes concerning, reporting on, and promoting the Service.
- Nothing in this Article shall be construed to mean that the Company acquires any separate copyright, distribution right, or license in the music itself.
15. Third-Party Platforms
- Members must independently comply with the terms, community guidelines, copyright policies, advertising policies, and other rules of YouTube, TikTok, Instagram, and other Third-Party Platforms.
- The Company shall not be liable, absent intentional misconduct or gross negligence, for losses arising from policy changes, post deletion, account suspension, URL changes, API limitations, statistics changes, or service interruption on Third-Party Platforms.
- The Company does not guarantee the continued exposure, availability, or performance of any specific audio page, account, post, or performance metric.
- The fact that content or conduct has not been removed or restricted by a Third-Party Platform does not mean that such content or conduct complies with these Terms, the Community Guidelines, or Company policy.
16. Prohibited Conduct
Members shall not engage in any of the following:
• registering false information;
• using another person’s name or account;
• manipulating views, likes, followers, or other performance metrics;
• hacking, distributing malicious code, using unauthorized automation, scraping, or otherwise interfering with Service operations;
• infringing copyrights, trademarks, portrait rights, publicity rights, or other third-party rights;
• registering content that is illegal, obscene, hateful, discriminatory, violent, or contrary to social order;
• engaging in harassment, insults, threats, stalking, spam, fraud, or conduct associated with Abusive Users;
• buying, selling, transferring, or leasing accounts;
• circumventing or abusing reporting functions, blocking functions, or review procedures; or
• violating applicable law, these Terms, the Community Guidelines, or Company policy.
16-2. User-Generated Content, Reporting, Blocking, and Community Safety
- The Company applies a zero-tolerance policy toward Objectionable Content and Abusive Users in relation to User-Generated Content, Submissions, profiles, links, comments, and other information created, registered, or shared by Members.
- Members shall not register, post, transmit, share, or induce any of the following content or conduct:
- obscene material, excessive sexual objectification, sexual exploitation, or content harmful to children or youth;
- hate speech, discrimination, harassment, bullying, insults, threats, stalking, violence, or threats of physical harm;
- content that promotes self-harm, suicide, crime, or other unlawful conduct;
- fraud, spam, phishing, false information, deceptive commerce, or repeated harassment;
- content infringing another person’s copyright, trademark, portrait right, publicity right, personal information, or other rights; or
- content otherwise reasonably determined by the Company to be inappropriate in light of service safety and sound community operation.
- For service safety, the Company may take technical and administrative measures including keyword filtering, URL validation, automated detection, pre- and post-publication review, temporary hiding, access restriction, deletion, and account restriction.
- Members may report potential Objectionable Content, Abusive Users, rights infringement, spam, fraud, or other policy violations through in-app functionality or another method provided by the Company.
- Members may block other Members through in-app functionality. Once a block is made, the blocked Member’s related content, profile, interactions, or exposure may be immediately restricted or hidden from the blocking Member’s view in accordance with Company policy. The Company may review blocking-related information for service safety operations.
- If the Company becomes aware of a possible violation through a Report or its own monitoring, it shall review the matter without undue delay and may, in principle, conduct review and take necessary first-response measures within 24 hours. The Company may, where necessary, delete or hide the relevant content, temporarily suspend or permanently terminate the relevant account, restrict campaign participation, withhold or recover rewards, or report the matter to relevant authorities.
- The Company may take immediate action without prior notice in light of the seriousness, repetition, scale of harm, illegality, or likelihood of recurrence of a violation.
- The Company may apply separate labels, hiding measures, access restrictions, age verification, or other necessary measures to content that may exceed the app’s age rating or may be inappropriate for minors.
- Members shall not make false reports, retaliatory reports, abuse the reporting function, or abuse the blocking function, and the Company may impose separate restrictions on such conduct.
17. Restriction of Use and Termination
- If a Member violates these Terms, operating policies, or applicable law, the Company may restrict the use of the Service or suspend or terminate the account without prior notice.
- If posting of Objectionable Content, conduct by an Abusive User, repeated reporting, serious rights infringement, sexual exploitation, violent threats, hate, or harassment is confirmed or reasonably suspected, the Company may immediately suspend or permanently eject the relevant Member.
- The Company may delete, hide, or restrict access to violating content without prior notice.
- A Member may request withdrawal from the Service at any time in accordance with the method designated by the Company.
- Even after withdrawal or termination, already accrued settlement, refund, dispute handling, report handling, and legally required retention obligations shall remain unaffected.
18. Disclaimer and Limitation of Liability
- The Company does not guarantee the commercial success of any Campaign, increases in views, music popularity, advertising performance, settlement revenue, or other business outcomes.
- The Company does not, in principle, intervene in disputes between Members or between a Member and a third party. However, where the Company deems it necessary, it may request cooperation for fact-finding, document submission, report handling, or service safety measures.
- The Company shall not be liable for damage caused by force majeure, system failure, network failure, failure of a Third-Party Platform, policy changes, or other causes beyond the Company’s reasonable control.
- To the extent permitted by applicable law, the Company shall not be liable for damage arising to a Member from good-faith report handling, content review, deletion, hiding, blocking, account restriction, or other service safety measures taken pursuant to these Terms, operating policies, or applicable law.
19. Governing Law and Jurisdiction
- These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea.
- Any dispute arising between the Company and a Member in connection with the Service shall be subject to the court having jurisdiction under applicable law.
20. Language and Interpretation
- These Terms and related Service policies may be provided in both Korean and English.
- In the event of any difference, conflict, or inconsistency between the Korean version and the English version, the Korean version shall prevail.
- However, if mandatory laws of the Member’s residence or the country where the Service is provided apply, such laws may prevail within the scope of their applicability.
Supplementary Provision: These Terms shall take effect on 2026.04.01.
